SPAC M Evo Global II, targeting US critical minerals, announces pricing of upsized $270 million US IPO

M Evo Global Acquisition II, a blank check company targeting the critical minerals sector in the US, raised $270 million by offering 27 million units at $10. Each unit consists of one share of common stock and one-half of one warrant exercisable at $11.50 per share. The company had originally filed in December 2025 with plans to raise $225 million.

M Evo Global Acquisition II, a blank check company targeting the critical minerals sector in the US, filed on Monday with the SEC to raise up to $225 million in an initial public offering.

The company plans to raise $225 million by offering 22.5 million units at $10.00. Each unit consists of one share of common stock and one-third of a warrant, exercisable at $11.50.

M Evo Global Acquisition II is led by CEO and Chairman Stephen Silver, the founder and Managing Director of Australia-based Evolution Capital and a director at LTL Capital. He is joined by CFO Arthur Chen, the former CAO of The Metals Company (Nasdaq: TMC)。 The SPAC plans to target companies that own, operate, or are developing assets in the critical minerals sector that are fundamental to the economic and national security interests of the United States.

Management’s previous SPAC Evolution Global Acquisition (EVOXU; +1% from $10 offer price), also targeting critical minerals, raised $210 million this past November.

The Farmers Branch, TX-based company was founded in 2025 and plans to list on the Nasdaq under the symbol MEVOU. M Evo Global Acquisition II filed confidentially on September 25, 2025. Cohen & Company Securities is the sole bookrunner on the deal.

About the Company

We are a special purpose acquisition company formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. While we may pursue an acquisition in any industry, we intend to focus our search on companies that own, operate, or are developing assets in the critical minerals sector that are fundamental to the economic and national security interests of the United States. We intend to identify companies with critical resource infrastructure, in order to accelerate America’s safe and secure energy future, accelerate electrification and grid expansion, support the what we expect to be an upcoming digital infrastructure revolution, reduce foreign reliance on mineral supply chains, and drive industrial resurgence. We expect to target companies involved in the exploration, processing, production, and domestic refining and recycling of minerals essential to national defense, clean energy independence, and technological leadership, preferably with enabling technologies. We have not selected any specific business combination target, and we have not, nor has anyone on our behalf, engaged in any substantive discussions, directly or indirectly, with any business combination target.
