Early-stage uranium miner Jaguar Uranium prices US IPO at $4 low end
Jaguar Uranium, a developer of uranium exploration and mining projects in Colombia and Argentina, raised $25 million by offering 6.3 million shares at $4, the low end of the range of $4 to $6. The company had originally filed in January to offer 4.0 million shares at the same range, before upping the share offering to 6.0 million shares.

Uranium exploration company Jaguar Uranium sets terms for $20 million US IPO
Jaguar Uranium, a developer of nuclear fuel uranium exploration projects in Colombia and Argentina, announced terms for its IPO on Friday.
The Thornhill, Canada-based company plans to raise $20 million by offering 4 million shares at a price range of $4 to $6. At the midpoint of the proposed range, Jaguar Uranium would command a market cap of $82 million.
Jaguar Uranium was founded in 2022 and plans to list on the NYSE American under the symbol JAGU. Titan Partners is the sole bookrunner on the deal.

Uranium exploration company Jaguar Uranium ups shares offered by 50% ahead of $30 million US IPO
Jaguar Uranium, a developer of nuclear fuel uranium exploration projects in Colombia and Argentina, raised the proposed deal size for its upcoming IPO on Monday.
The Thornhill, Canada-based company now plans to raise $30 million by offering 6 million shares at a price range of $4 to $6. The company had previously filed to offer 4 million shares at the same range. At the midpoint of the revised deal size, Jaguar Uranium will raise 50% more in proceeds than previously anticipated and command a market cap of $95 million.
Uranium exploration company Jaguar Uranium files for a $30 million US IPO
Jaguar Uranium, a developer of nuclear fuel uranium exploration projects in Colombia and Argentina, filed on Monday with the SEC to raise up to $30 million in an initial public offering.
Based in Canada, Jaguar Uranium is a pre-revenue junior mining company focused on three uranium exploration projects: one in Colombia and two in Argentina. Its principal exploration project is the Berlin Project in Caldas Province, Colombia, a sedimentary deposit hosting uranium together with vanadium, nickel, phosphate, rare earth elements, molybdenum and zinc, located approximately 12 km from a hydroelectric dam and 65 km from a river port with access to the Caribbean coast. In Argentina, the company is advancing the Laguna Project in Chubut Province and the Huemul Project in Mendoza Province.
The Ontario, Canada-based company was founded in 2022 and plans to list on the NYSE American under the symbol JAGU. Jaguar Uranium filed confidentially on November 15, 2024. Titan Partners is the sole bookrunner on the deal. No pricing terms were disclosed.
IsoEnergy divests Argentine uranium projects to Jaguar

lobally diversified uranium company IsoEnergy has announced the sale of its Argentina-based uranium projects to Jaguar Uranium, as its enhances its focus on core jurisdictions including the US, Canada and Australia.
The deal includes the transfer of 100% of the shares of IsoEnergy’s subsidiary, which holds interests in the Laguna Salada Project in Chubut and the Huemul Project in Mendoza in Argentina.
The acquisition’s terms involve Jaguar offering $10m of its Class A common shares at $5 per share, amounting to two million Jaguar Shares.
Additionally, Jaguar has committed to a 2% net smelter returns (NSR) royalty on all production from the Laguna Salada Project.
It also has the option to repurchase 1% of this royalty for $2.5m within seven years.
A 1% NSR royalty on production from part of the Huemul Project is also stipulated under the agreement, with an option for an additional 1% NSR on the project’s remainder.
Related IPO Pledge Agreement
Should Jaguar fail to list within 12 months post-closing, IsoEnergy will receive 400,000 additional Jaguar shares, valued at $5 apiece.
If the listing occurs within 12 months but the share price is below $5, additional shares will be issued to maintain a $10m valuation of the properties, with a minimum share price of $4.
Additionally, if the listing happens after 12 months, the valuation will increase to $12m, with a condition that Jaguar completes a concurrent financing of at least $5m.
The Jaguar shares involved in the transaction will be under a six-month resale restriction following the listing date.
Furthermore, an investor rights agreement grants IsoEnergy the right to participate in future Jaguar equity financings to maintain its proportional interest and the right to nominate one board member.
Significance and Impact
IsoEnergy director and CEO Philip Williams said: “Since the merger with Consolidated Uranium late last year, IsoEnergy has been largely focused on advancing the Laroque East project in the Athabasca Basin, host to the high-grade Hurricane Deposit, and restarting its past-producing uranium mines in Utah, the Tony M, Daneros and Rim Mines.
“At the same time, we have been pursuing opportunistic transactions to realise value from “non-core” assets in the portfolio.
“Today’s announcement is one such transaction. We firmly believe that every uranium pound in every jurisdiction will be required to meet expected future uranium demand and Jaguar, with its Berlin project in Colombia and now the IsoEnergy Argentinian Properties, has an important roll to play in South America.”
