Rare Earths Americas, an exploration-stage rare earths mining company with projects in Brazil and the US, raised $63 million by offering 3.3 million shares at $19, the high end of the $17 to $19 range. The company originally filed to offer 2.8 million shares. At pricing, the company commands a fully diluted market value of $399 million (+8% versus original terms)。

The Manchester, GA-based company plans to raise $50 million by offering 2.8 million shares at a price range of $17 to $19.

IPO Overview

Rare Earths Americas, an exploration-stage rare earths mining company with projects in Brazil and the US, filed on Monday with the SEC to raise up to $75 million in an initial public offering.

Rare Earths Americas is an exploration-stage critical miners company with a portfolio of three material projects: the Shiloh Project in Georgia, and the Alpha and Constellation Projects in Brazil. The projects are all focused on heavy rare earth elements including neodymium-praseodymium, dysprosium, and terbium, which are used primarily in high-performance permanent magnets. The Brazilian assets are ionic adsorption clay deposits, while the Shiloh Project is centered on monazite-bearing mineralization. The company has yet to generate revenue, and its current activities consist of exploration, resource definition, and metallurgical test work.

The Manchester, GA-based company was founded in 2021 and plans to list on the NYSE American under the symbol REA. Cantor Fitzgerald, Stifel, B. Riley Securities, and Canaccord Genuity are the joint bookrunners on the deal.

About the Company

We are an exploration stage company advancing a portfolio of critical minerals projects focused on high-grade heavy rare earth mineral assets. Our work is aimed toward defining mineralization for our projects and increasing our understanding of its characteristics and economics. Our portfolio includes three material projects, which we believe positions REA as a future potential cornerstone of non-Chinese rare earth supply, aligning with Western industrial and national security priorities: Shiloh Project (Georgia, United States), Alpha Project (Bahia, Brazil), and Constellation Project (Minas Gerais, Brazil)。 We also hold rights to several additional, currently not material, early-stage exploration projects, most notably our Homer Project located in Goiás, Brazil, and Liberty Peak located in Georgia, United States. The Homer Project hosts multiple large carbonatite clusters with potential for rare earth minerals and niobium considering the region contains some of the world’s preeminent niobium mines. Our primary focus is on heavy rare earth elements, which are critical to high-performance permanent magnets used in robotics, defense applications, electric vehicles, wind power systems, renewable energy systems, and consumer electronics. We are currently in the exploration stage, with no revenue generated to date. Our projects have dual-jurisdiction exposure in the United States and Brazil.
